These Terms of Service ("Terms") govern your access to and use of the Tape website at tapeperp.com and any related interfaces, pages, and APIs (the "Service"), operated by a Delaware limited liability company operating as "Tape" ("Tape", "we", "us"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into these Terms. You represent that your use of the Service is not prohibited under the laws of your jurisdiction, and that you are not located in, or a resident of, any jurisdiction where access to non-custodial crypto-derivatives interfaces is unlawful or restricted. You are responsible for complying with the laws that apply to you.

2. Nature of the Service

Tape is a non-custodial, informational interface to the Hyperliquid protocol and related public on-chain data. Tape does not take custody of your funds, hold your private keys, or execute trades on your behalf — your own wallet signs every transaction, and settlement occurs on the Hyperliquid L1. Tape is not a broker, dealer, exchange, money transmitter, custodian, or investment adviser.

3. No Financial, Investment, or Tax Advice

All content, analytics, leaderboards, wallet data, AI-generated commentary, and other outputs are provided for informational purposes only and are not financial, investment, legal, or tax advice, nor a recommendation, solicitation, or offer to buy or sell any asset. AI-generated analysis may be inaccurate, incomplete, or out of date. You are solely responsible for your own decisions. Past performance does not predict future results.

4. Fees and Payments

Certain features may charge a builder fee (capped and enforced on the Hyperliquid L1) and/or a per-call price for premium API access paid via the x402 protocol in USDC. Prices are shown before you incur them. Crypto payments are final and irreversible once settled on-chain; see our Refund Policy. You are responsible for any network fees and for any taxes arising from your use of the Service.

5. Acceptable Use

You agree not to: use the Service for unlawful purposes; circumvent payment or rate limits; attempt to defraud, scrape abusively, overload, or compromise the Service; use the Service where prohibited; or rely on outputs as a substitute for professional advice.

6. Third-Party Services

The Service depends on third parties including the Hyperliquid protocol and APIs, AI providers (e.g., Google Gemini), x402 facilitators, and infrastructure providers (e.g., Cloudflare). We do not control and are not responsible for third-party services, their availability, or their outputs. Your use of them may be subject to their own terms.

7. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, secure, error-free, or that any data or analysis is accurate.

8. Assumption of Risk

Trading perpetual futures and other crypto-derivatives involves a high degree of risk, including leverage that can cause the total loss of your funds and rapid liquidation. You knowingly and voluntarily assume all risks associated with your use of the Service and any trading you conduct.

9. Limitation of Liability

To the maximum extent permitted by law, Tape and its operators, contributors, and affiliates will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, funds, or data, arising from or related to your use of the service. Our aggregate liability for any claim will not exceed the greater of (a) the amounts you paid us for the service in the 3 months before the claim or (b) US$100. You release Tape from any and all liability to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Tape and its operators from any claims, damages, and expenses arising out of your use of the Service or your violation of these Terms.

11. Changes

We may modify the Service or these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be reflected by an updated date above.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, any claim will be brought individually and not as part of a class or representative action.
